How to Structure Your Seed Round for the European Market

Raising a seed round in the current European landscape requires more than a polished deck. While the pre-seed stage is often about the team and the vision, the seed round is where investors look for early evidence of product-market fit and a scalable operational engine.

For founders in the Nordics and across Europe, the transition from "idea" to "business" involves specific preparation. Here is how to structure your seed round to maximize your chances of closing.

Define Your Funding Milestones Before approaching investors, you must be clear on exactly how much capital you need and what that capital will achieve. European seed rounds typically range from €1M to €3M, though this varies by sector.

Instead of picking a round size based on what others are raising, work backward from your next major milestone—usually the Series A. Calculate the runway needed to reach the metrics required for a Series A (often €100k+ Monthly Recurring Revenue for SaaS). Add a six-month buffer to account for market volatility and the time it takes to raise the next round.

Build a Realistic Valuation Framework Valuation at the seed stage is an art, but it must be grounded in market reality. Overpricing your seed round can lead to a "down round" later, which heavily dilutes founders and demotivates the team.

Look at recent deals in your specific geography and sector. Nordic markets often see slightly lower valuations than London or Silicon Valley, but they benefit from more stable, long-term investor bases. Aim for a valuation that allows you to sell 15% to 25% of the company. Selling more risks your "skin in the game," while selling less may not provide enough capital to hit your targets.

The Data Room: Beyond the Pitch Deck By the time you reach the seed stage, investors expect professional rigor. A well-organized data room speeds up due diligence and signals that you are a disciplined operator. Your data room should include:

  • Financial Model: A bottom-up forecast for the next 18–24 months, including hiring plans and customer acquisition costs.
  • Cap Table: A clear breakdown of current ownership, including any outstanding SAFEs or convertible notes.
  • Legal Documentation: Incorporation papers, intellectual property assignments, and employment contracts.
  • Customer Evidence: Case studies, pipeline data, or letters of intent (LOIs) from enterprise pilots.

Orchestrating the Process Fundraising is a full-time job that can easily distract from building the product. To minimize impact, time-box your efforts.

Start by building a "Long List" of 30–50 investors who specifically lead seed rounds in your industry. Use platforms to filter for those with a mandate for your region. Once you have your list, seek warm introductions through other founders in their portfolio.

Aim to schedule all first-round meetings within a two-week window. This creates a "forcing function" where multiple investors are moving through the funnel at the same time, naturally generating the momentum needed to secure a lead investor.

Navigating the European Grant Landscape One mistake many European founders make is ignoring non-dilutive funding during their seed round. Programs like the EIC Accelerator or national grants (such as Business Finland or Vinnova) can complement your private equity.

Securing a grant can act as a powerful signal to private investors, as it represents a third-party validation of your technology. When pitching, mention how grant funding will extend your runway and reduce the overall risk for the equity investors.

Choosing the Right Lead Investor Your seed lead will likely take a board seat and remain a partner for several years. Look for "smart capital"—investors who have successfully navigated the specific regulatory or scaling challenges of the European market.

Ask potential investors for references from founders of companies that failed. How the investor behaves when things go wrong is more telling than how they behave during a success.
